Confidentiality Agreement FormThis Confidentiality Agreement ("Agreement") is entered into by and between the undersigned party ("Recipient") and the Legal & Consulting firm ("Discloser"). The purpose of this Agreement is to establish the terms and conditions under which confidential information will be disclosed, protected, and used.By executing this Agreement, Recipient acknowledges the importance of maintaining the confidentiality of sensitive information obtained during their interaction with the Discloser. This is intended to foster trust and protect proprietary and personal data throughout the inquiry or support process.
1. Definition of Confidential Information"Confidential Information" refers to all data and information, oral or written, disclosed by the Discloser to the Recipient, including but not limited to business strategies, client details, legal documents, personal data, and any other proprietary information marked as confidential or reasonably understood to be confidential.
2. Obligations of RecipientThe Recipient agrees to keep all Confidential Information strictly confidential and to not disclose such information to any third party without prior written consent from the Discloser.The Recipient shall use the Confidential Information solely for the purpose of making inquiries or receiving support from the Discloser.The Recipient agrees to take all reasonable measures to protect the confidentiality of the information, including but not limited to restricting access to authorized personnel only.
3. Exclusions from Confidential InformationConfidential Information does not include information that:a) was in the Recipient's possession before receipt from the Discloser;b) is or becomes publicly available through no fault of the Recipient;c) is rightfully received from a third party without breach of any obligation of confidentiality;d) is independently developed by the Recipient without use of or reference to the Discloser's Confidential Information.
4. TermThis Agreement shall commence on the date signed below and shall continue with respect to all Confidential Information disclosed until such information no longer qualifies as confidential or the parties mutually agree in writing to terminate this Agreement.
5. RemediesThe Recipient acknowledges that any unauthorized disclosure or use of Confidential Information may cause irreparable harm to the Discloser, for which monetary damages may be insufficient. Therefore, the Discloser shall be entitled to seek injunctive relief and any other legal remedies available.
6. General ProvisionsThis Agreement constitutes the entire agreement between the parties regarding confidentiality and supersedes all prior agreements or understandings.If any provision is found to be unenforceable, the remaining provisions shall remain in full force and effect.This Agreement shall be governed by and construed in accordance with the laws applicable in the jurisdiction of the Discloser.
